Equity crowdfunding: examen crítico y comparativo de su regulación en Chile y el Derecho Comparado

Abstract

El objetivo de este trabajo es poder revisar y examinar crítica y comparativamente la regulación actual del equito crowdfunding en nuestro país, partiendo con un análisis de la situación fáctica y normativa de dicho mecanismo de financiamiento en nuestro ordenamiento jurídico, el que será contrastado con diversas normas del Derecho Comparado que regulan la materia. Así, el presente trabajo pretende poder presentar críticas y comentarios tanto a la Ley N° 21.521 como a la Norma de Carácter General N° 502 emitida por la Comisión para el Mercado Financiero, normas que regulan la materia en Chile, con el fin de poder identificar si tal regulación cumple o no con el objetivo de una ponderación eficaz y eficiente entre la protección a los inversionistas y la promoción o incentivo a la inversión

The purpose of this paper is to review and examine critically and comparatively the current regulation of equity crowdfunding in our country, starting with an analysis of the factual and regulatory situation of such financing mechanism in our legal system, which will be contrasted with various rules of comparative law that regulate the matter. Thus, this paper intends to present criticisms and comments to both Law No. 21.521 and General Rule No. 502 issued by the Financial Market Commission, rules that regulate the matter in Chile, in order to identify whether or not such regulation complies with the objective of an effective and efficient weighting between the protection of investors and the promotion or incentive to investment
